Okinawa Coastal Protection Alliance
<\/u><\/span>OCPA DBA “Churamura” is a legally registered non-profit organization dedicated to the preservation and protection of the natural coastline and sea turtle populations in Okinawa. The financial structure of OCPA is supported by a combination of donations, grants, and fundraising efforts aimed at sustaining the organization’s rescue, rehabilitation, and educational programs. As a Japanese 501(c)(3) entity, it ensures full transparency and accountability in its financial operations, with all funds directed toward conservation efforts and continuity. The corporate structure of OCPA includes a dedicated team of staff and volunteers, overseen by a Board of Directors as well as external Auditor and CTAs who provide strategic fiscal guidance and governance. This team works collaboratively with local and international conservation bodies, ensuring that their activities align with global best practices in marine conservation. The organization is committed to financial stewardship, regularly providing updates to donors and stakeholders to demonstrate the impact of their contributions. Through careful financial planning and management, OCPA continues to build a sustainable future for sea turtles and the natural environment while fostering a sense of community involvement in marine conservation<\/span>.<\/h6>\n

What is CHURAMURA?
<\/u><\/span>OCPA is the registered legal name behind the management of CHURAMURA operations.
<\/span>CHURAMURA is committed to protecting Okinawa\u2019s marine and coastal environments through direct conservation, cleanup activities, environmental education, and policy advocacy. Formed in 2020 but officially recognized by the Japanese Government in 2021, and hence formed in Yomitan Village, Okinawa Prefecture. 
<\/span>CHURAMURA began its mission by focusing on the protection of endangered sea turtles, conducting beach and underwater cleanups, and raising environmental awareness. This mission is rooted in the belief that the presence of wild sea turtles is a symbol of the rich and fragile natural ecosystem of Okinawa\u2019s seas.
<\/span>CHURAMURA was launched with a clear and powerful purpose: to ensure that sea turtles \u2014 which have existed on Earth for millions of years \u2014 are not lost to extinction. When baby turtles hatch on Okinawa\u2019s shores and return roughly 20 years later to lay their own eggs, CHURAMURA hopes they will be welcomed back to a safe and healthy coastline. By protecting these animals and the environment they depend on, CHURAMURA strives to pass on a vibrant and diverse marine ecosystem to future generations \u2014 so they too can witness the return of these extraordinary creatures.
<\/span>CHURAMURA operates through three core divisions, each addressing key aspects of marine and coastal conservation:
<\/span>*Sea turtle conservation\u2013 24hr Rescue Operations, stranding surveys, nest protection, research etc.
<\/span>*Environmental Conservation \u2013 Regular island-wide trash removal including dune & vegetation management, as well as underwater \u201cghostgear\u201d cleanup operations.

<\/u><\/span>OCPA is registered as \u4e00\u822c\u793e\u56e3\u6cd5\u4eba (Ippan Shadan H\u014djin) which translates to General Incorporated Association, a type of non-profit legal entity in Japan created under the Act on General Incorporated Associations and General Incorporated Foundations (2006), functioning as a membership-based organization (association) with legal status but without profit distribution, similar to non-profit groups in other countries. 
<\/span>We are required by law to implement a membership system which permits tax-deductible payments in the form of donations. To share ownership of our work with as many people as possible, OCPA offers a membership system under the operational name CHURAMURA .

Initiation Fee: 0JPY Annual Dues: 0JPY
Volunteer Membership is available to those who have an interest in contributing to mission by supporting Churamura\u2019s hands-on operations and activities.
Volunteers are required to register and maintain good \u201cactive\u201d standing as outlined in the Volunteer Agreement.<\/h6>\n

<\/em>Initiation Fee: 0JPY Annual Dues: 10,000JPY
Membership in the Core category is available to volunteers, community individuals, groups, teams, NPOs who have an interest in supporting Churamura\u2019s all-round purpose and activities.
Supporters joining as Stranding Season volunteers will have their membership transferred to the following calendar year.<\/h6>\n

Membership is available to any non-commercial entity who has an interest in contributing to Churamura\u2019s financial stability and long term management planning.<\/h6>\n

<\/em>Guardian Membership are available to individuals, strategic partners, corporations, institutions, associations and trusts.
Initiation Fee: Y10,000 Annual Dues: Y100,000
Each Guardian Membership will designate a Representative to attend the Annual Meeting.  
Under tax laws, membership fees can act as a \u201cdonation\u201d and off-set your personal or company tax bill.<\/h6>\n

An individual granted membership by the Board of Directors in recognition of outstanding service, support, or contributions to the organization. Honorary members are elected at the board\u2019s discretion and are not required to pay membership fees or hold voting rights unless otherwise specified.

    VOTING RIGHTS
    <\/u><\/span>Voting Rights are granted only to Company & Individual Memberships.
    <\/span>Memberships that satisfy this requirement shall be deemed a Voting Membership \u2013 CMV or IMV.
    <\/span>All other classes of membership may not vote except as members of committees in committee matters. 
    <\/span>All voting members are eligible to be elected to the Board of Directors. No more than 4 (four) seats on the Board of Directors are available to Company Voting members.
    <\/span>Resignation from membership must be in writing and addressed to the Board of Directors or email to info@okinawaprotect.org
    <\/u><\/span>Any Members that do not renew their membership with annual fee payment will be considered to have effectively resigned from Churamura.
    <\/span>Should a member violate the terms of this Constitution, the By-Laws or regulations of Churamura, or in the opinion of the Board of Directors, a member\u2019s conduct may be injurious to the best interest of Churamura, the Board of Directors may request the member to resign, or it may suspend the member for a period not to exceed six months. The Board of Directors may in extreme cases expel the member by vote.

    Membership Bylaws<\/span><\/h5>\n

    Article 1: Name<\/b><\/span><\/p>\n

    This association shall be called the <\/span><\/span>Churamura<\/span><\/span> Membership.<\/span><\/span><\/p>\n

     <\/span><\/span><\/p>\n

    Article 2: Office Location<\/b><\/span><\/p>\n

    The office of this association shall be located at 640-1 Senaha, Yomitan Village, Nakagami District, Okinawa Prefecture.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 3: Purpose<\/span><\/strong><\/p>\n

    The purpose of this membership is to support the activities of <\/span>Churamura<\/span> and allow members to participate in <\/span>Churamura<\/span> management decisions (policy, financial, operational) including future development projects and provide more governance and oversight. Allowing Members to voice their opinions and ideas for advancing <\/span>Churamura<\/span> goals and missions, bringing this community of likeminded conservation enthusiasts together for the betterment of this island we hope to protect for generations to come.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 4: Management<\/span><\/strong><\/p>\n

    All individuals and companies who share the same mission and are approved for membership by the Organization may join. Members\u2019 passion and mutual trust shall form the foundation of all activities and operations.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 5: Membership Eligibility and Fees<\/span><\/strong><\/p>\n

    Membership is open to individuals, companies, and organizations who agree with the purpose of the association.<\/span><\/p>\n

    Admission fees and annual membership fees for the following fiscal year shall be determined by Board of Directors at the annual meeting.<\/span><\/p>\n

    Renewal fees shall be paid by the end of January each year.<\/span><\/p>\n

    For those joining in August or later, the annual membership fee for the joining year shall be half the standard amount.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 6: Admission<\/span><\/strong><\/p>\n

    Applications will be reviewed by the Board and approved upon confirmation of payment. Board reserves the right to decline membership applications.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 7: <\/span>Withdrawal<\/span><\/strong><\/p>\n

    Members wishing to withdraw must notify the office in writing and will take effect when approved by the Board.
    Membership fees are non-refundable.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 8: Executive Board<\/span><\/strong><\/p>\n

    The Board of Directors shall determine activity policies and major operational matters.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 9: Composition of Directors (Board of Directors \u201cBOD\u201d)<\/span><\/p>\n

    President: Representative Director of OCPA \u2026 1 person<\/span><\/p>\n

    Vice President \/ Treasurer: Director(s) of OCPA \u2026 1\u20132 persons<\/span><\/p>\n

    Board Directors: \u2026total limit 10 persons<\/span><\/p>\n

    Auditor: OCPA Member or external contractor \u2026 1 or more persons<\/span><\/p>\n

     <\/span><\/p>\n

    Article 10: Election of Directors<\/span><\/strong><\/p>\n

    Directors are elected at the Annual General Membership meeting. Any voting member is eligible for electing after having served more than 6 months as Voting Member and display a superior commitment to the organization and can commit to the following 12 months of service\u2026. limit of 10 persons<\/span><\/p>\n

    The <\/span>Chairman<\/span> is elected by voting at the Annual Directors Meeting.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 11: Duties and Terms of Directors<\/span><\/strong><\/p>\n

    The <\/span>Chairman<\/span> shall represent the association and oversee its operations for a 2-year term.<\/span><\/p>\n

    The Vice <\/span>Chairman<\/span> shall assist the <\/span>Chairman<\/span> and serve in their place in the event of accident or incapacity and also act as Treasurer overseeing the finances of OCPA for a 1-year term.<\/span><\/p>\n

    Other Directors support the management of OCPA and serve 1-year terms.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 12: Organization of Meetings and Voting<\/span><\/strong><\/p>\n

    OCPA meetings shall consist of the General Membership Meeting, Board Meetings, and any irregular Meetings.
    The General Membership Meeting shall be held once a year to report on activities, finances, activity plans and vote on the election of Directors and general direction of <\/span>Churamura<\/span> operations.<\/span><\/p>\n

    Each voting Member and Director shall have one vote, and decisions shall be made by a majority vote show of hand style.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 13: Fiscal Year<\/span><\/strong><\/p>\n

    The fiscal year of the association currently begins on May 1st to April 30th, however from 2027, this will change to March 1st to February 28th.<\/span><\/p>\n

    The Membership year begins on January 1st and ends on December 31st.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 14: Amendments to the Bylaws<\/span><\/strong><\/p>\n

    Amendments to the bylaws shall be decided by the Executive Board.<\/span><\/p>\n

     <\/span><\/p>\n

    Article 15: <\/span> <\/span>Other Matters<\/span><\/strong><\/p>\n

    Any matters necessary but not specified herein shall be determined by the Executive Board.<\/span><\/p>\n

     <\/span>(Supplementary Provision)<\/span><\/p>

    These bylaws shall take effect as of January 1st, 2026.<\/span><\/p>\n

    Membership Rules<\/span><\/strong><\/p>\n

    If misuse of membership privileges results in infringement of another member\u2019s rights, the member may lose their membership and forfeit all associated benefits.<\/span> Slander of members, directors or the organization will not be tolerated and is cause for dismissal.<\/span><\/p>\n
